Terms of Use

These Terms of Use ("Terms") govern your access to and use of LiteFrame CMS, operated by Conversion Labs ("we," "our," "us"). By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

1. The Service

LiteFrame CMS is a managed website platform that includes a content management system, visual and code editors, blog, forms, lead capture, analytics, SEO tools (SearchLab), AI content generation (BuildLab), media management, and related features. The platform is provided as a hosted service. We manage the server infrastructure, security, and platform updates.

2. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorized use of your account.

You must be at least 18 years old to create an account. If you are creating an account on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Agency Accounts

If you subscribe to the Agency plan, you may create and manage client sub-accounts, white-label the admin interface under your own brand, and bill your clients through the built-in Stripe integration at prices you set. You are responsible for your relationship with your clients, including any agreements, support obligations, and data handling practices. We are not a party to agreements between you and your clients.

You may not misrepresent the nature of the service to your clients. While the admin interface carries your branding, you acknowledge that the underlying platform is provided by Conversion Labs and subject to these Terms.

4. Billing and Payment

Paid plans are billed monthly or annually, depending on the billing cycle you select. Payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

All fees are listed on our pricing page and are subject to change with 30 days' advance notice. Price changes do not affect your current billing cycle. If you do not agree with a price change, you may cancel before the next billing cycle.

We do not offer refunds for partial billing periods. If you cancel mid-cycle, your access continues through the end of the current paid period. We offer a 14-day money-back guarantee on new subscriptions. If you are unsatisfied within the first 14 days of your initial subscription, contact us for a full refund.

5. Your Content

You retain all ownership rights to the content you create, upload, or manage through the platform. This includes pages, blog posts, images, CSS, JavaScript, templates, form configurations, and any other content you add to your sites.

By using the platform, you grant us a limited license to host, store, process, and display your content solely for the purpose of providing the service to you. This license terminates when you delete your content or close your account.

You are responsible for ensuring that your content does not violate any applicable laws, infringe on third-party intellectual property rights, or contain material that is defamatory, obscene, or otherwise harmful. We reserve the right to remove content that violates these Terms, but we are not obligated to monitor or review your content.

6. Prohibited Uses

You may not use the platform to:

• Host or distribute malware, phishing pages, or any content designed to harm users or systems
• Send unsolicited bulk communications (spam) through forms or any other platform feature
• Engage in any activity that violates applicable local, state, national, or international law
• Attempt to gain unauthorized access to the platform, other accounts, or our infrastructure
• Reverse engineer, decompile, or disassemble any part of the platform
• Resell access to the platform outside of the Agency plan's white-label functionality
• Use the platform to host content that exploits minors in any way
• Intentionally overload or disrupt the platform's infrastructure

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you are engaging in prohibited uses.

7. AI Content Generation (BuildLab)

BuildLab generates content based on your site context and prompts you provide. You are responsible for reviewing, editing, and approving all AI-generated content before publishing it on your site. We do not guarantee the accuracy, originality, or legal compliance of AI-generated output.

AI generation limits vary by plan and are specified on the pricing page. Usage resets on the first of each billing cycle. We reserve the right to modify generation limits with 30 days' notice.

Your site content is sent to our AI processing infrastructure to fulfill generation requests. We do not use your content to train AI models. Generated output is delivered exclusively to your account.

8. Data Export and Portability

You may export your complete website data (HTML, CSS, JS, images, media) at any time through the platform's built-in export feature. We do not restrict or charge for data export. Your content is yours, and you can take it with you if you leave.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The platform may be temporarily unavailable due to scheduled maintenance, infrastructure issues, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

We are not liable for any damages resulting from service interruptions, including lost revenue, lost data, or inability to access your sites.

10. Backups

We perform automatic backups before platform updates. While we take reasonable measures to protect your data, you are responsible for maintaining your own backups. We recommend using the platform's export feature regularly. We are not liable for data loss resulting from hardware failure, software bugs, security incidents, or other causes.

11. Intellectual Property

The LiteFrame platform, including its design, code, features, documentation, and branding, is the intellectual property of Conversion Labs. Your subscription grants you a non-exclusive, non-transferable, revocable license to use the platform during your subscription period.

The white-label features of the Agency plan allow you to apply your own branding to the admin interface for your clients. This does not transfer any ownership of or intellectual property rights in the underlying platform to you.

12. Third-Party Services

The platform integrates with third-party services including Stripe (payments), SendGrid (transactional email), Pexels (stock photos), Google Search Console, and Bing Webmaster Tools. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

13. Limitation of Liability

To the maximum extent permitted by law, Conversion Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the platform.

Our total aggregate liability for any claims arising out of or related to these Terms or the platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Conversion Labs, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the platform, your content, your violation of these Terms, or your violation of any third-party rights.

15. Termination

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account at any time if you violate these Terms. In cases of severe violations (hosting malware, illegal activity, abuse of infrastructure), termination may be immediate and without prior notice. We will make reasonable efforts to provide notice for less severe violations and give you an opportunity to correct the issue.

Upon termination, your data is retained for 30 days to allow for export. After 30 days, your data is permanently deleted.

16. Dispute Resolution

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration administered by the American Arbitration Association, unless you opt out of arbitration within 30 days of creating your account by notifying us in writing.

You agree to resolve disputes on an individual basis. Class actions and class arbitrations are not permitted under these Terms.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or unauthorized access to the platform.

17. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you through the platform or by email at least 30 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.
